In one of the biggest restaurant industry shakeups in recent years, Pizza Hut is changing hands. Yum! Brands, the parent company behind the iconic food chain, is selling it in two separate transactions. Private equity firm LongRange Capital will acquire Pizza Hut’s operations outside mainland China for $1.5 billion.
Meanwhile, Yum China Holdings will purchase the mainland China business for $1.2 billion. Combined, the deals value Pizza Hut at roughly $2.7 billion.
Why is Yum! selling Pizza Hut?
The short answer is that Pizza Hut has been struggling. Yum! first announced it was exploring a sale back in late 2025 after several quarters of declining sales at U.S. locations. That is a big problem because the American market accounts for roughly 40% of Pizza Hut’s international sales.
The company has been facing pressure from all directions. Major rivals like Papa Johns, Little Caesars, and Domino’s have aggressively competed on price, promotions, and delivery. At the same time, smaller regional pizza chains and food delivery apps have given consumers more options than ever before. The result is a pizza market that has become a crowded battlefield. And to make it worse, Pizza Hut also has to compete against burgers, tacos, wings, sushi, and almost anything else that can be delivered to your door.

The sale is a huge change for the American food icon whose story stretches back nearly 70 years. The chain was founded in 1958 by two brothers in Wichita, Kansas. It was acquired by PepsiCo in 1977 before eventually becoming part of Yum! Brands when the restaurant business was spun off in 1997.
What’s next for Pizza Hut?
Yum! says the new owners bring deep restaurant expertise and are well positioned to help the brand grow. The deals are expected to close during the third quarter of 2026, pending regulatory approval.
For customers, nothing changes immediately. But behind the scenes, know that the chain will be entering a new chapter under ownership focused entirely on Pizza Hut’s future.
